This summary is a guide to the agreement below. It doesn’t replace your purchase terms or reduce your legal rights.
1. Who you’re agreeing with
Gyna is operated by Lily Health USA, Inc. In these Terms, “Gyna,” “we” and “us” mean that company. “You” means the person using our services.
These Terms cover our websites at gyna.com and gyna.co, our Gyna apps, and the education, tools and services we provide through them. Additional purchase terms apply to the specific offer you choose.
We’ll make these Terms available when we ask you to accept them. Accepting these Terms doesn’t, by itself, authorize a subscription charge. A recurring purchase requires your agreement to the recurring-payment terms presented with that offer.
2. Who can use Gyna
You must be at least 18 and legally able to enter into this agreement where you live. Please provide accurate account and billing details and keep your contact details up to date.
A health condition or pregnancy doesn’t, by itself, prevent you from accessing Gyna’s educational content. It does mean that some information or activities may not be appropriate for you. The health boundaries in section 3 apply throughout the service.
Availability can vary by location and product. A translated page doesn’t change the contracting company or remove protections that apply where you live.
3. What Gyna can and can’t do
Gyna offers fertility and nutrition education, planning tools and related features. We’re not a medical practice, and using Gyna doesn’t create a clinician-patient relationship.
Our lessons, plans, quiz results and automated responses aren’t a diagnosis, treatment plan or substitute for care from a qualified health professional. They may be incomplete or wrong. Don’t use them to decide whether to start, stop or change treatment. Your health professional can help you decide which information is appropriate for your circumstances.
Where a feature uses AI, its responses are generated by software, not a clinician assessing you. Don’t assume that a response has been reviewed by a health professional.
Gyna doesn’t promise conception, a particular pregnancy outcome or a particular improvement in your health. A refund promise, if included in your purchase offer, is a refund term, not a promise of a medical result. This section doesn’t cancel that refund promise.
Gyna isn’t an emergency service. If you need urgent help, contact your local emergency service.
4. Your purchase offer
Before we obtain your billing information, we’ll clearly disclose the product, currency, amount due now, any trial or introductory period, and any later charges. For subscriptions, we’ll also disclose that the subscription renews automatically, the renewal amount or how it is determined, the billing interval and how to cancel. We’ll obtain your express informed consent to recurring charges before charging you. If you have questions about an offer, contact us.
Your receipt records the purchase details. Keep it, along with any guarantee or special terms shown with your offer.
Some purchases are subscriptions and others are one-time purchases. A one-time purchase doesn’t become a subscription unless you separately agree to recurring payments. Different offers can have different prices, access periods and refund promises. These Terms don’t create a universal price or guarantee.
We’ll disclose applicable charges before payment. Your bank or payment provider may separately apply currency-conversion or other fees under its agreement with you.
5. Trials and automatic renewal
A trial isn’t necessarily free. If your offer includes an upfront trial fee, that fee pays for the trial. The later subscription charge is separate and is described at checkout.
If you choose an automatically renewing subscription, you authorize the recurring charges disclosed in that offer until you cancel. Unless your offer says otherwise, each charge pays for the next subscription period in advance.
To stop a trial converting to the paid subscription described in your offer, cancel before the disclosed trial-end time. Cancelling doesn’t automatically refund a trial fee that has already been paid; section 8 explains refunds.
An introductory price may end on the date disclosed in your offer. We won’t treat ordinary use of Gyna as consent to a new subscription or an undisclosed recurring charge.
We’ll provide the acknowledgements and renewal, trial-end or other notices required by applicable law. Your offer and receipt remain important even when a separate reminder isn’t required.
6. Separate products and add-ons
An add-on is optional. Its purchase terms explain whether it is a one-time charge or a separate subscription.
Premium Meal Plan can be a separate subscription from your fertility subscription. Cancelling one doesn’t automatically cancel the other. To stop both, cancel each active subscription in Billing or clearly ask support to cancel both.
The same distinction applies to refunds: approval of a refund for one product doesn’t, by itself, establish a refund entitlement for another product.
7. Cancelling, changing or pausing a subscription
You can stop a subscription’s renewal through Billing. Select the subscription and complete its cancellation action. You don’t need to explain your reason or accept an alternative offer to cancel.
If you can’t access Billing, don’t want to sign in to cancel, or the cancellation isn’t working, email support@gyna.co with the email address used for your account and the subscription or subscriptions you want cancelled. We may need to verify the account to prevent unauthorized changes.
Cancellation stops future renewal of the selected subscription. Access normally continues until the expiry date for the period you’ve already paid for, including a paid trial period. Your cancellation confirmation identifies the relevant access end date. A refund, a requested immediate account closure or a suspension under section 14 may affect that access.
Deleting the app, stopping use of Gyna or unsubscribing from marketing emails doesn’t cancel a subscription. Account-data deletion is a separate request; if you want to stop billing as well, tell us that clearly.
If we offer a pause, billing-frequency change or other alternative, its confirmation will explain the affected subscriptions, dates, charges and access. These offers aren’t available to everyone. A pause isn’t a cancellation, and it doesn’t automatically include a separate add-on unless the offer expressly includes it.
8. Refunds and guarantees
Payments are non-refundable except where your purchase offer expressly provides otherwise or applicable law requires a refund.
Cancelling stops renewal; it doesn’t automatically refund an earlier charge.
To ask about a refund, email support@gyna.co from your account email address. Tell us which charge you mean and, if available, include the relevant offer or receipt. If you believe a decision missed something, reply and ask us to review it.
Nothing in these Terms removes a statutory cooling-off right, a right to dispute a charge or another remedy available under applicable law. Simply accessing digital content doesn’t create a blanket waiver of those rights.
A refund request doesn’t require you to remove or change an honest review.
9. Payment problems and price changes
If a payment fails, we may ask you to update your payment details or retry an authorized payment. Updating a payment method through a recovery flow may trigger another attempt to collect the amount shown there. We’ll explain any new payment arrangement before you accept it.
A failed payment isn’t a reliable cancellation method. If you want to stop renewal, use section 7. Access may be restricted if the applicable payment remains unpaid; these Terms don’t promise a universal retry schedule or grace period.
We won’t change the price of a period you’ve already paid for. Before a change to a future recurring price takes effect, we’ll give the notice and obtain any consent required by law, explain when it applies and tell you how to cancel. Posting an updated price elsewhere on our website doesn’t, by itself, change your existing purchase terms.
10. Privacy and messages
Our Privacy Policy explains how we handle personal information and how to exercise privacy rights. This agreement doesn’t give us permission to disregard your privacy choices or applicable privacy law.
You can email deletemydata@gyna.co about access, correction or deletion requests. Cancelling a subscription doesn’t automatically delete your data, and unsubscribing from marketing doesn’t automatically delete your quiz answers. Retention and deletion are explained in the Privacy Policy, not a fixed post-cancellation period in these Terms.
We send necessary account and service messages, such as receipts, security messages, cancellation confirmations and required legal notices. Marketing is separate. You can unsubscribe from promotional emails using their unsubscribe link without cancelling your subscription.
Where optional notifications or messaging features are available, their own choices apply. These Terms don’t enroll you in promotional text messages or override a marketing opt-out.
11. Your account and responsible use
Keep your sign-in details private and tell us promptly if you suspect unauthorized access. You’re responsible for your own conduct, but these Terms don’t make you automatically liable for every unauthorized action taken through your account.
Use Gyna for your own lawful, personal purposes. Don’t impersonate someone, harass others, share someone else’s private information without permission, upload malicious software, interfere with the service or bypass access controls. Don’t copy or resell paid material without permission or another legal basis.
These rules don’t prohibit honest criticism, lawful reviews, accessibility tools or uses that the law expressly permits.
12. Content you read and content you share
We or our licensors own the Gyna materials we provide. You may access and use them for your personal purposes within the access included in your purchase. This permission doesn’t transfer ownership of our content or branding.
You keep ownership of content you submit. You give us a non-exclusive permission to store, reproduce and technically adapt it only as needed to operate the feature you use, provide support and display it to the audience you choose. Service providers acting for us may perform those activities subject to the Privacy Policy.
Private health entries and support messages aren’t permission to publish your story or use it in advertising. If we want to use your content as a testimonial or in marketing, we’ll obtain separate permission. These Terms don’t require you to transfer ownership of a review.
Community posts are visible to their intended community audience. Please avoid sharing information you don’t want that audience to see. We may remove material that violates these Terms or the law, but we don’t promise to review every post. Disagreeing with an opinion isn’t, by itself, a reason to treat an honest review as false.
To report a copyright issue or another content concern, contact support@gyna.co. We’ll handle copyright notices under applicable law. Nothing here requires us to publish a complainant’s private contact information.
13. Third-party services
Links to clinics, research, websites or other services can help you explore a topic. A link isn’t a promise about a third party’s advice, availability or results.
A third party may have its own terms when you independently use its service. That doesn’t remove our responsibility for obligations we owe you under this agreement or applicable law. Your device, app marketplace, bank or internet provider may also have separate terms for the services it provides.
14. Service changes and suspension
We may make reasonable updates to maintain, secure and improve Gyna. We may restrict an account where reasonably necessary to address fraud, a security threat, unlawful activity or a material breach of these Terms.
Where practical and lawful, we’ll explain the reason and give you a reasonable chance to resolve it. We may need to act immediately to prevent harm. You can contact support to ask us to review a restriction.
Suspension or closure doesn’t automatically cancel a refund right, authorize continuing subscription charges without providing the purchased service, or remove a remedy required by law.
15. Responsibility and your rights
We aim to provide a useful, functioning service, but we can’t promise uninterrupted availability or that every item of content will be error-free. Section 3 explains the limits of educational and automated information.
Those limitations don’t cancel an express purchase promise or a legal obligation. Each party remains responsible for its obligations under this agreement and applicable law.
The amount-paid limit
Except for the rights and liabilities described below, our total liability to you arising from your use of Gyna is limited to the total amount you have paid for Gyna services by the time the claim is resolved. This is a combined limit for your claims under this agreement, whether made in contract, negligence or another civil legal basis.
“Amount paid” includes all paid-trial, subscription, one-off and prepaid fees for Gyna services, including payments made on your behalf. It isn’t limited to payments made during a particular number of months. A refund doesn’t reduce the amount used to calculate this limit, although you can’t recover twice for the same loss.
Rights this limit doesn’t take away
The amount-paid limit does not apply to any liability or remedy that applicable law does not allow us to limit. In particular, it does not restrict:

Consumer rights and remedies that cannot be restricted by contract, including required standards of quality, description, reasonable care and skill, and remedies for late, missing or defective performance. Those remedies may include compensation for loss or damage beyond a refund.

Liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, intentional wrongdoing or gross negligence, wherever the applicable law prevents that liability from being limited.

Privacy and data-protection rights, compensation, statutory damages, or other remedies that the applicable law does not allow a contract to limit.
If UK, European Economic Area or Australian consumer law applies to your purchase, your mandatory rights and remedies under that law remain available. The amount-paid limit does not restrict those rights or reduce compensation that the law requires to remain recoverable.
This section does not reduce a refund or other remedy due under an express purchase promise or applicable law. Section 8 continues to apply. It does not prevent you from reporting a concern to a regulator or seeking a non-monetary remedy, such as an order to stop unlawful conduct.
These Terms don’t require you to indemnify us for our own conduct or impose a general obligation to pay our legal costs.
16. If we disagree
Please contact support@gyna.co if something has gone wrong. Include enough information for us to understand the issue. We’ll try to resolve it with you.
Contacting support is an invitation, not a condition that prevents you from seeking urgent relief, using a regulator’s complaint process or exercising another legal right.
Notwithstanding anything to the contrary contained herein, you agree that any and all claims made hereunder shall be settled solely by confidential binding arbitration per the Nairobi Centre For International Arbitration. All arbitration must occur in Kenya and Kenyan law shall govern. Arbitration fees and costs shall be split equally, and you are solely responsible for your own attorney’s fees.
17. Changes to these Terms and how they fit together
We’ll publish a version number and effective date and keep prior versions available. If a change materially affects an existing subscription, we’ll give you advance notice explaining the change and how to cancel, and obtain consent where the law requires it. A posting alone won’t substitute for notice or consent that the law requires.
Changes won’t be used to remove an existing refund promise or rewrite a dispute that arose before the change took effect.
Your specific purchase terms govern the product, price, access period and any refund expressly provided by your purchase offer. These general Terms apply alongside them. The Privacy Policy governs our handling of personal information; these Terms don’t override privacy rights.
If a provision can’t be enforced, the rest of the agreement continues to apply to the extent permitted by law. A failure to enforce a provision once doesn’t mean it has been waived for the future.
